End User License Agreement
This End User License Agreement (EULA) governs your right to access and use the WanderBees web application. It is a legally binding agreement between you (the end user) and WanderBees (Subas Gautam / WanderBees Pvt. Ltd.), formed under the laws of Nepal. By using WanderBees you confirm your acceptance of this agreement.

1. Definitions
"WanderBees", "we", "us", "our" refers to WanderBees, operated by Subas Gautam / WanderBees Pvt. Ltd., a company registered in Nepal under the Company Act 2063. "Platform" means the WanderBees web application available at thewanderbees.com, including all associated features, tools, data, content, and services. "You" or "User" means any person who accesses or uses the Platform. "User Content" means any condition reports, observations, photographs, or other material you submit to the Platform. "Applicable Nepal Law" means the Copyright Act 2059 (2002), Electronic Transactions Act 2063 (2006), E-Commerce Act 2081 (2025), Muluki Civil Code 2074 (2017), Information Technology and Cyber Security Act 2082 (2025), Individual Privacy Act 2075 (2018), and all other statutes and regulations of Nepal applicable to digital platforms and their users.
2. Legal Basis of This Agreement
This EULA is a legally valid agreement under Nepal law. Its formation is governed by: Click-Wrap Validity: Section 7 of the E-Commerce Act 2081 (2025) expressly recognises click-to-accept agreements — clicking "Create Account", "I Agree", or any equivalent action — as legally binding electronic contracts with the same force as a written, signed agreement. Electronic Records: Section 3 of the Electronic Transactions Act 2063 (2006) provides that electronic records are legally valid and admissible as evidence in Nepal courts. Contractual Capacity: Under the Muluki Civil Code 2074, a valid contract requires the legal capacity of the parties. If you are under 18 years of age, this agreement is voidable and you must obtain the consent of your parent or legal guardian before using the Platform. Intellectual Property Foundation: The Platform and all original content and software within it are protected works under the Copyright Act 2059 (2002). The "WanderBees" brand and logo are proprietary marks of WanderBees, registered or pending registration with Nepal's Department of Industry under the Patent, Design and Trade Mark Act 2022 (1965). This EULA grants you a limited personal license to use the Platform; it does not transfer any ownership of these intellectual property rights to you.
3. Grant of License
Subject to your compliance with this EULA and the Terms of Service, WanderBees grants you a: • Limited: this license covers only the features and content of the Platform as currently offered • Non-exclusive: WanderBees may grant the same license to other users simultaneously • Non-transferable: you may not assign, sublicense, or transfer this license to any other person • Revocable: WanderBees may terminate this license at any time as set out in Section 8 below • Personal: this license is for your individual, non-commercial use only right to access and use the WanderBees Platform for the purpose of discovering outdoor activities, destinations, city hubs, and travel bundles in Nepal; saving bookmarks; submitting community condition reports; planning weekend journeys; and using the supporting tools and features we provide. This license does not include any right to download, copy, compile, or export the WanderBees database of activity listings, destination data, route information, or any other compiled content for commercial purposes or for use in a competing service.
4. Restrictions on Use
You agree that you will not: Infringe Intellectual Property • Copy, reproduce, republish, upload, post, transmit, or distribute WanderBees content or software beyond personal, non-commercial use • Remove or alter any copyright notice, trademark notice, or other proprietary legend on the Platform • Create derivative works of any WanderBees content without our prior written consent • Use the "WanderBees" name, logo, or any confusingly similar mark without our written permission Circumvent Platform Security • Attempt to gain unauthorised access to any account, server, system, or database of WanderBees (Section 45, Electronic Transactions Act 2063 — offence carrying up to 3 years' imprisonment and NPR 200,000 fine) • Interfere with, disrupt, or damage the WanderBees Platform or its servers (Section 46, Electronic Transactions Act 2063 — offence carrying up to 4 years' imprisonment and NPR 300,000 fine) • Deploy automated bots, scrapers, or web crawlers against WanderBees beyond standard search engine indexing • Attempt to reverse-engineer, decompile, or extract source code from any part of the WanderBees Platform Publish Illegal or Harmful Content • Publish, transmit, or store content that is defamatory, obscene, threatening, or otherwise illegal in Nepal (Section 47, Electronic Transactions Act 2063 and Information Technology and Cyber Security Act 2082) • Submit false condition reports, misleading safety information, or fabricated route data that could endanger other users • Use the Platform to collect or harvest other users' personal data without their consent (Individual Privacy Act 2075, Sections 23–26) Commercial Exploitation Without Authorisation • Use the Platform or its content for commercial advertising, resale, or sublicensing without a separate written agreement with WanderBees • Represent that your products or services are affiliated with, endorsed by, or originate from WanderBees
5. Intellectual Property Ownership
Platform and WanderBees Content The WanderBees Platform — including its source code, compiled database of activity listings, destination data, editorial content, route logistics, rating systems, design, graphics, and all original materials — is protected by the Copyright Act 2059 (2002) of Nepal. All rights are reserved by WanderBees. No copyright in any WanderBees-owned content is transferred to you under this EULA. You receive only the limited personal use license described in Section 3. Moral Rights: Under the Copyright Act 2059, moral rights (the right to be identified as the author and the right to object to distortion or mutilation of a work) are non-transferable and perpetual. WanderBees asserts its moral rights over all original works created by its team. Trade Mark: "WanderBees" and the WanderBees bee logo are proprietary marks of WanderBees. They are registered or pending registration with Nepal's Department of Industry under the Patent, Design and Trade Mark Act 2022. You must not use these marks in any manner that could cause confusion, imply affiliation, or disparage WanderBees. Third-Party Content: Certain maps, photographs, and data integrated into the Platform are licensed from third-party providers. These remain the intellectual property of their respective owners and are displayed under license. Their use beyond personal viewing may require separate permission from the relevant rights holders. Open Source: The WanderBees Platform may incorporate open-source software components. Each such component is governed by its own applicable licence, the terms of which take precedence over this EULA to the extent of any inconsistency.
6. User Content and License Back
Ownership Retained by You You retain full copyright ownership of any original User Content (condition reports, observations, photographs) that you submit to the Platform, in accordance with the Copyright Act 2059 (2002) of Nepal. We do not claim ownership of your original User Content. License Grant to WanderBees By submitting User Content, you grant WanderBees a non-exclusive, royalty-free, sublicensable, worldwide license to: • Display and communicate your User Content on the WanderBees Platform • Reproduce and store your User Content on WanderBees servers • Adapt your User Content (for example, resize images or display excerpts) to fit the Platform's presentation format • Make your User Content available to the public as part of the WanderBees community safety signal system This license continues for as long as your content remains on the Platform. You may withdraw your content by deleting it through your account or by contacting us. Moral Rights: You assert your moral right to be identified as the author of your User Content and your right to object to any treatment of it that amounts to derogatory treatment under the Copyright Act 2059. Your Warranty: By submitting User Content, you warrant that: • You are the original author or have all necessary rights to grant the above licence • Your User Content does not infringe any third party's copyright, trademark, privacy right, or other right • Your User Content complies with Nepal law, including the Electronic Transactions Act 2063 Section 47 If your User Content is found to infringe a third party's rights, WanderBees may remove it immediately and you agree to indemnify WanderBees against any resulting claims.
7. Updates, Modifications and Service Changes
Platform Updates: WanderBees may update, modify, or discontinue features of the Platform at any time. We will use reasonable efforts to notify users in advance of significant changes that affect core functionality. EULA Updates: We may update this EULA to reflect changes in the Platform, Nepal law, or our practices. For material changes: • We will update the "Last Updated" date at the top of this page • Registered users will receive email notice at least 14 days before material changes take effect • Continued use of the Platform after the effective date of a material change constitutes acceptance of the revised EULA If you do not accept a material change, you must stop using the Platform before the change takes effect and may close your account by contacting us. No Downgrade in Statutory Rights: No modification to this EULA will reduce your rights as a consumer under the Consumer Protection Act 2075 (2018), the E-Commerce Act 2081 (2025), or any other mandatory provision of Nepal law.
8. Termination
Termination by WanderBees We may suspend or terminate your license to use the Platform immediately, with or without notice, if: • You materially breach any provision of this EULA or the Terms of Service and fail to remedy the breach within 7 days of written notice • Your conduct causes harm to other users, the Platform, or third parties • Continued provision of access would expose WanderBees to legal liability • Required by a valid court order or instruction from a Nepal law enforcement authority Termination by You You may terminate this EULA at any time by ceasing to use the Platform and, if applicable, closing your account by contacting us at [email protected]. Effect of Termination Upon termination: • Your licence to use the Platform ceases immediately • Your account and associated data will be handled in accordance with the Privacy Policy • Obligations that by their nature survive termination — including Sections 4, 5, 6, 9, 10, and 11 — remain in effect Termination does not affect any rights or remedies either party has accrued prior to termination.
9. Disclaimer of Warranties
The WanderBees Platform is provided on an "as is" and "as available" basis. To the maximum extent permitted by Nepal law, WanderBees makes no warranties — express, implied, or statutory — regarding: • The accuracy, completeness, or currency of activity information, route data, permit requirements, cost estimates, or weather signals displayed on the Platform • The fitness of any activity or route for your particular physical condition, skill level, or circumstances • The continuous, uninterrupted, or error-free operation of the Platform • The accuracy or reliability of User Content submitted by other users Statutory Consumer Rights Not Excluded: This disclaimer does not exclude or limit any rights you have as a consumer under the Consumer Protection Act 2075 (2018) or the E-Commerce Act 2081 (2025) that cannot be excluded or limited by agreement. Adventure Activities: The Platform provides planning information. It does not assess your personal fitness, skill, or risk tolerance. The disclaimer in Section 4 of the Terms of Service regarding adventure activity safety applies to this EULA with equal force.
10. Limitation of Liability
Except as required by mandatory provisions of Nepal law, WanderBees and its directors, employees, and agents shall not be liable to you for: • Any indirect, incidental, special, consequential, or punitive loss arising out of or in connection with your use of the Platform or your inability to use it • Loss of data, loss of profits, loss of business opportunity, or personal injury arising from reliance on information displayed on the Platform • Harm arising from User Content submitted by other users • Harm arising from your participation in any activity described on the Platform Maximum Liability: Where liability cannot be excluded, WanderBees' aggregate liability arising from or in connection with this EULA shall not exceed the total amount you paid to WanderBees in the 12-month period preceding the event giving rise to liability, or NPR 10,000, whichever is greater. Consumer Rights: Nothing in this section limits your rights under the Consumer Protection Act 2075 (2018) or the E-Commerce Act 2081 (2025), including your right to accurate information and the right to resolve complaints within 15 days.
11. Governing Law, Jurisdiction, and Dispute Resolution
This EULA is governed exclusively by the laws of Nepal. Applicable Forums • Consumer disputes: Consumer Court under the Consumer Protection Act 2075, or the District Court with jurisdiction • Digital/electronic service disputes: Nepal's IT Tribunal under Sections 60–65 of the Electronic Transactions Act 2063; appeals to the IT Appellate Tribunal, High Court, and Supreme Court • Intellectual property disputes: District Court and appellate courts with jurisdiction over copyright and trademark matters under the Copyright Act 2059 and Patent, Design and Trade Mark Act 2022 • General contract disputes: District Court with territorial jurisdiction over Kathmandu, Nepal Informal Resolution: Before commencing formal proceedings, you agree to first contact us at [email protected] and allow 30 days for informal resolution. No Foreign Jurisdiction: This EULA does not designate a foreign jurisdiction. Any clause purporting to submit Nepali consumer disputes to a foreign court or arbitral forum would not be enforceable under Nepal law.
12. Severability and Entire Agreement
Severability: If any provision of this EULA is found to be invalid, illegal, or unenforceable under Nepal law, that provision shall be modified to the minimum extent necessary to make it enforceable, or if modification is not possible, severed. The remaining provisions shall continue in full force and effect. Entire Agreement: This EULA, together with the Terms of Service and Privacy Policy, constitutes the entire agreement between you and WanderBees with respect to your use of the Platform and supersedes all prior agreements, understandings, representations, or communications, whether oral or written. No Waiver: WanderBees' failure to enforce any provision of this EULA shall not constitute a waiver of that provision or any other provision. Language: This EULA is written in English. In the event of any conflict between this document and any translation, the English version governs.
